Before you start reading and deciding
whether to accept the ChatWhiz Membership Subscription Service Agreement
(hereinafter referred to as " this Agreement " or " ChatWhiz Membership
Agreement " ) and pay for the ChatWhiz membership service, we remind you
to read carefully and pay attention to the bold content in this Agreement. If you are a minor
under the age of 18 , please read this Agreement carefully in the company of
your guardian and decide whether to accept this Agreement, and purchase and use
the ChatWhiz membership service under the guidance and
supervision of your guardian.

Agreement, or cannot fully or partially accept the terms of this Agreement, or
if you need to provide us with feedback during use (including but not limited
to suggestions, complaints, reports, etc.), please contact us via the following

1. ChatWhiz
ChatWhiz refers to an application software product developed, operated and managed by us, which is intended to provide you with software license and technical services within the scope of this Agreement. ChatWhiz under this Agreement may refer to the ChatWhiz mobile terminal, the independent website we set up for ChatWhiz , or the related technical services we provide around the ChatWhiz software product, depending on the context. "We" refers to the developer of ChatWhiz : UK RSBC NETWORK TECHNOLOGY CO. LTDg.
2. ChatWhiz Member
users who have completed all procedures
for purchasing ChatWhiz membership and, subject to compliance with this
Agreement, enjoy the membership services provided by ChatWhiz during the
validity period of the membership.
3. ChatWhiz Member Service
ChatWhiz membership service means that
after users pay a certain service fee in the specified method specified on the ChatWhiz
page, users can enjoy the member- exclusive services provided by ChatWhiz .
4.ChatWhiz Member Service
Rules
ChatWhiz service provider may publish and
revise from time to time the agreements, announcements, page descriptions,
notifications, FAQs, promotional activities and other content related to the
ChatWhiz membership service.
5. Agreement Updates
ChatWhiz may update the terms of service
under this Agreement (including changing, adding, or reducing the corresponding
terms). Once the terms of service are updated, ChatWhiz will notify you through
system prompts and push notifications. Once the updated terms are officially
released, they will become an integral part of this Agreement. If you do not
agree to the changed agreement, you may stop using this service. If you
continue to use the services provided by ChatWhiz , you will be deemed to have
accepted all changes to this Agreement.
1. All services we provide to our members
shall be subject to the information publicly announced on the ChatWhiz platform
and are limited to use by members on the ChatWhiz platform. Any attempt to separate
our services from the ChatWhiz platform by malicious hacking or other illegal
means shall be considered illegal and infringing. The perpetrator shall be
responsible for all legal consequences arising therefrom and we will pursue
legal liability in accordance with the law.
2. Membership services are part of the
ChatWhiz function. When users use membership services, in addition to complying
with this Agreement, they must also comply with the ChatWhiz User Agreement
signed between the user and us regarding the download and use of ChatWhiz, and
be bound by the terms and conditions therein.
3. ChatWhiz may, based on actual operating
conditions , grant extensions, benefit upgrades, price reductions and other
benefits to users who have activated or have not activated ChatWhiz membership
at different stages. The specific preferential policies shall be subject to the
content notified by ChatWhiz on the relevant service page.
1. Payment
ChatWhiz membership service is a paid
service. You can pay the membership fee by subscription or purchase in the IOS
system. It should be noted that ChatWhiz membership service belongs to the
category of online goods and virtual goods. It adopts the model of charging
fees first and then providing services. The membership fee is based on the
value of the online goods corresponding to the membership service you
purchased. It does not have the nature of prepayment, deposit, down payment,
savings card, etc. In view of this, once you successfully purchase ChatWhiz membership
service, it means that you have started using the product. If you need to
return or exchange, please contact customer service.
2. Fees
The charging standards are independently
determined by us based on our operating costs, operating strategies, etc.
(adjustments include but are not limited to promotions, price increases, etc.),
and will be displayed to you on the relevant product service promotion and
payment pages; if the relevant charging method changes during your purchase and
renewal, the charging method we actually accept will prevail; if the price of
the relevant service is adjusted, it shall be based on the currently valid
price announced on our platform (except where we have otherwise agreed with
you). Please read the relevant notice carefully before deciding whether to
renew.
3. Payment cycle &
automatic renewal
In order to meet your needs for the
continuity of ChatWhiz membership service purchases, we have launched a
continuous weekly / monthly/quarterly/annual package service, which users can
choose . You can indicate that you have read,
understood and agreed to sign the automatic renewal rules by accepting and
using this service. Unless you have accepted this renewal rule, you have no
right to use the relevant services under this rule.
(1) Automatic renewal rules
( a ) Automatic renewal refers to a
service launched to meet the needs of users for automatic renewal and to avoid
failure to renew in time due to negligence or other reasons, provided that
users have already activated ChatWhiz membership services. If users choose to
activate the automatic renewal service, when the subscription period is about
to end, ChatWhiz will issue a deduction instruction in accordance with the
deduction rules of IOS , and deduct the fees for the next billing period from
the user's account without verifying the member account password, payment
password, SMS verification code and other information.
( b ) ChatWhiz will automatically deduct
the payment on the day before the expiration of the ChatWhiz membership service
(i.e. if the subscription date is March 29, the automatic deduction date for
the next cycle will be April 5 (for consecutive weekly packages), April 28 ( for
consecutive monthly packages ), June 28 ( for consecutive quarterly packages),
and March 28 of the following year (for consecutive annual packages). Once the
deduction is successful, ChatWhiz will activate the ChatWhiz membership service
for you for this billing cycle. If the balance in your iOS account is
insufficient to pay for the ChatWhiz membership service fee for the next cycle,
ChatWhiz will automatically deduct the payment for the second time on the same
day after the first automatic deduction fails . If your account balance is
still insufficient to pay for the ChatWhiz membership service fee for the next
cycle during the second automatic deduction, ChatWhiz will automatically stop
providing ChatWhiz membership services. You will be solely responsible for the
risks and/or losses caused by the insufficient balance in the above account
that may lead to the failure of renewal.
( c ) ChatWhiz hereby reminds you that the
amount of ChatWhiz membership service fees you pay for this billing cycle shall
be subject to the automatic renewal price agreed upon with ChatWhiz when you
activate the ChatWhiz membership service . However, in the event that ChatWhiz carries
out activities or other circumstances where ChatWhiz has made other agreements
with you, the aforementioned amount shall be subject to the relevant agreement
between ChatWhiz and you. At the same time, if you activate ChatWhiz membership
service again after unsubscribing , the amount of ChatWhiz membership service
fees you pay for this billing cycle shall be subject to the automatic renewal
price agreed upon with ChatWhiz when you activate it again .
(2) Automatic renewal cancellation
If you do not actively and explicitly
cancel the service, the automatic deduction will remain in effect for a long
time. If you need to cancel, you can do so directly in the subscription
management of the AppStore. Open the "Settings" of your iPhone, go to
"iTunes Store and App Store", click "Apple ID", select
"View Apple ID", enter the "Account Settings" page, click
"Subscriptions", and select " ChatWhiz " to cancel the
subscription.
The intellectual property rights of the
exclusive features and services provided by ChatWhiz Member Services belong to
us, our licensors or our affiliates . In any case, our and our affiliates '
permission to you to use the relevant materials and features shall not be
deemed to be a transfer of part or all of the intellectual property rights to
you. When you download and use any materials in the Member Services through ChatWhiz
, you should only use them for personal entertainment, learning, research or
appreciation. You may not use them for any commercial purpose without our
written permission.
1. When using ChatWhiz membership
services, you are prohibited from engaging in the following actions:
(1) Use technical means to modify service content,
service period, consumption amount, transaction status and other information to
obtain ChatWhiz membership services.
(2) Provide ChatWhiz membership services
to others for use (including but not limited to transferring, donating,
borrowing, renting, selling, and assigning).
(3) Issue, develop, transfer, sell,
display, disseminate, synthesize, create derivative works, perform secondary
creation, conduct commercial development or promotion of the exclusive
functions and services provided by ChatWhiz Member Services.
(4) Crack, change, reverse, tamper with or
otherwise damage any security technology of ChatWhiz member services.
ChatWhiz membership services through
illegal or improper means or exploits loopholes or conducts malicious refunds.
(6) Other acts that violate ChatWhiz 's
User Agreement and Privacy Policy.
2. If you violate this
Agreement and/or the User Agreement or Privacy Policy, ChatWhiz has the right
to independently decide and may choose, in whole or in part, without prior
notice to you, based on its own judgment or the needs of laws and policies:
(1) Suspend or terminate your ChatWhiz
membership service, take measures including but not limited to restricting,
freezing or terminating ChatWhiz membership service, and you shall bear the
consequences of being unable to use ChatWhiz membership service, and the fees
you have paid shall not be refunded;
(2) Appeal to administrative law
enforcement agencies or judicial organs to pursue corresponding legal
responsibilities. If any third party (including us and our affiliates) suffers
damages due to your violation of this agreement, you shall bear the
responsibility independently; if we and our affiliates suffer losses, you shall
also compensate according to law.
1. Changes to Member
Services
ChatWhiz may partially modify the
above-mentioned member rights and interests according to the changes in laws,
regulations and policies, its own operating strategies and other factors,
including but not limited to adjusting or updating member-exclusive functions and
exclusive services, changing preferential policies, etc. If ChatWhiz changes
the service content, service method and the content of this Agreement in
accordance with the provisions of this Agreement, if the member disagrees with
the change of ChatWhiz , he/she has the right to choose to cancel and stop
using all or part of the corresponding services that have been obtained; if the
member continues to use the above-mentioned services provided by ChatWhiz , it
is deemed that the member has accepted the above-mentioned adjustment of ChatWhiz
.
2. Suspension and
Termination of Member Services
(1) User voluntarily suspends or
terminates the service, including but not limited to membership expiration and
failure to renew;
(2) ChatWhiz voluntarily suspends or terminates the service
due to user breach of contract ;
(3) ChatWhiz suspends or terminates the
service due to requirements of the state or relevant departments or force
majeure events ;
(4) Other suspension or termination of the service should or needs to be made
in accordance with laws and regulations or ChatWhiz business adjustments; After
suspension or termination of the service, ChatWhiz will make every effort to
notify the user in a reasonable manner. If you find that you cannot log in or
enjoy the service, you can consult our online customer service .
This User Agreement shall be governed by
the laws of mainland China. Any dispute arising from this User Agreement shall
be subject to the jurisdiction of the court where the defendant resides.
